Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Confident Psychiatry website and the Confident Psychiatry learning community (together, the "Service"), operated by Midday Therapy LLC ("we," "us," or "Confident Psychiatry"). By accessing the website, joining the community, or participating in any session, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service
The Service is intended for licensed clinicians, clinicians in training, and other healthcare professionals. It is not directed to patients or to the general public. You must be at least 18 years old to use the Service.
By using the Service, you represent that you are accessing it in a professional or educational capacity and not as a patient seeking care.

2. What the Service is
Confident Psychiatry provides professional education for psychiatric mental health nurse practitioners (PMHNPs) and other psychiatric clinicians. This includes live case-based masterclasses, interactive case discussions, live office hours, recorded sessions, written materials, and community discussion.
The community is hosted on Skool, a third-party platform we do not own or control (or a successor platform we may designate). Accessing the community requires creating an account with that platform. Your use of it is governed by its own terms of service and privacy policy in addition to these Terms. See Section 19.

3. Educational purpose only
All content provided through the Service — including live sessions, recordings, case discussions, office hours, written materials, and any comments, replies, or responses from Dr. Gerald Richardson — is provided for professional educational purposes only.

4. Not medical advice
Nothing provided through the Service constitutes medical advice, diagnosis, or treatment, and nothing constitutes a recommendation regarding any specific patient. Content is general in nature and cannot account for the clinical circumstances, history, comorbidities, medications, or context of any individual patient.

5. No clinician–patient relationship
Use of the Service does not create a physician–patient relationship between Dr. Richardson and you, nor between Dr. Richardson and any patient of yours. Dr. Richardson does not evaluate, diagnose, or treat any patient discussed through the Service.

6. Not supervision, consultation, or collaboration
The Service does not provide clinical supervision, formal consultation, collaborative practice arrangements, or any form of clinical oversight required by law, regulation, employer, or licensing board.
Participation does not satisfy any supervisory, collaborative, consultative, or precepting requirement in any jurisdiction. Dr. Richardson is not a supervising physician, collaborating physician, preceptor, or medical director for any member.

7. Your professional responsibility
You are solely responsible for your own clinical decisions and for practicing within your license, scope of practice, training, competence, institutional policies, and the laws and regulations of your jurisdiction.
Any application of concepts discussed through the Service to actual patient care is undertaken at your sole discretion and professional judgment. You remain fully responsible for verifying the appropriateness of any approach for your patient.

8. Cases are composite; no patient information
All clinical cases presented through the Service are composite, hypothetical, or substantially de-identified teaching examples. They do not represent real patients, and any resemblance to an actual patient is coincidental.
You must not post, upload, or share protected health information or any information that could reasonably identify a patient. This includes names, dates, locations, employers, record numbers, images, or unusual details that could identify an individual in combination. Discuss cases in general terms only.
You are responsible for compliance with HIPAA and any other privacy obligations that apply to you. We may remove any content that appears to contain identifiable patient information.

9. Clinical judgment and evolving evidence
Content reflects Dr. Richardson's own clinical judgment and interpretation. Psychiatry contains areas of genuine uncertainty and legitimate professional disagreement, and reasonable clinicians may reach different conclusions from the same information.
Guidelines, evidence, product labeling, and standards of care change over time. We make no representation that content is complete, current, or applicable to any particular clinical situation.

10. Medications and off-label discussion
Discussion of medications, dosing, mechanisms, titration, or prescribing strategy is educational and may include off-label uses. It is not a recommendation to prescribe.
You must independently verify indications, dosing, contraindications, interactions, warnings, and current prescribing information before making any treatment decision.

11. No continuing education credit
The Service does not currently offer CE, CME, or any accredited continuing education credit. Participation does not satisfy licensure, certification, or continuing education requirements.

12. Not for patients
The Service is not a source of personal medical care. If you are seeking psychiatric treatment, please contact a licensed clinician in your area.
If you are experiencing a medical or psychiatric emergency, call 911 or go to your nearest emergency department. In the United States, the Suicide and Crisis Lifeline is available 24 hours a day by calling or texting 988.

13. Membership, billing, and cancellation
Membership is offered as a recurring subscription. By subscribing, you authorize recurring charges to your payment method at the then-current rate until you cancel.
You may cancel at any time. Cancellation takes effect at the end of your current billing period, and you retain access until that date. Except where required by law, payments are non-refundable and we do not provide partial refunds for unused portions of a billing period.
We may change pricing on a going-forward basis. Any change will apply to billing periods beginning after notice is provided.
Billing and subscription management may be handled by the third-party platform hosting the community, subject to its terms.

14. Acceptable use and community conduct
You agree to engage respectfully and professionally. You agree not to:

Post identifiable patient information

Request or provide individualized clinical advice about a specific, identifiable patient

Represent the Service, or Dr. Richardson's participation in it, as supervision, consultation, or endorsement of your clinical decisions

Record, screenshot, download, reproduce, or redistribute live sessions, recordings, or materials

Share your account credentials or allow others to access the Service through your membership

Post unlawful, harassing, defamatory, discriminatory, or deliberately misleading content

Advertise, solicit, recruit, or promote outside products or services without permission

Use the Service or its content to train, fine-tune, or develop any machine learning or artificial intelligence system

Scrape, crawl, or extract content by automated means
We may remove content and suspend or terminate access for conduct that violates these Terms, at our discretion and without refund.

15. Member-contributed content
Comments, posts, questions, and discussion contributed by members represent the views of those individuals alone. Member content is not reviewed, verified, or endorsed by Dr. Richardson or Confident Psychiatry, and should not be relied upon as accurate or appropriate for your practice.

16. Intellectual property
All content provided through the Service — including recordings, slides, written materials, frameworks, and the Confident Psychiatry name and marks — is owned by us or our licensors and protected by intellectual property law.
Your membership grants you a limited, personal, non-transferable, non-exclusive license to access and use content for your own professional education for as long as your membership is active. All other rights are reserved. You may not reproduce, distribute, publish, sell, or create derivative works from any content without prior written permission.

17. Content you post
You retain ownership of content you post. By posting, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Service.
You represent that you have the right to post the content and that it does not contain identifiable patient information or violate any obligation you owe to a third party.

18. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

19. Third-party platform, links, and services
The community platform. The Confident Psychiatry community is hosted on Skool, a third-party platform (or a successor platform we may designate). We do not own, operate, or control that platform.
Separate account and separate terms. Participation requires you to create and maintain an account with the platform and to accept its terms of service and privacy policy. Those terms are between you and the platform. Where its terms and these Terms differ, each governs its own subject matter: ours govern the educational content and your membership with us; theirs govern your use of their software and account.
Your information. Content you post in the community, along with your account information and activity, is stored and processed on the platform's systems and handled under its privacy policy, not ours. We do not control how it collects, stores, transfers, secures, or discloses that information. Do not post anything to the community that you would not be comfortable storing on a third-party consumer platform — including, without limitation, protected health information or anything that could identify a patient.
Availability. We do not control the platform's uptime, performance, features, or continued existence. Outages, feature changes, data loss, account suspension, pricing changes, or discontinuation by the platform are outside our control, and we are not liable for them. Access to live sessions and materials may be interrupted for reasons we cannot prevent.
Account actions by the platform. The platform may suspend or terminate your account under its own terms, independently of us. If that occurs, we may be unable to restore your access, and it does not entitle you to a refund of amounts already paid.
Billing. Subscription payments may be processed by the platform or its payment processors under their terms. We do not store your payment card details.
Migration. We may move the community to a different platform at any time. If we do, we will make reasonable efforts to provide notice and continuity of access, but we do not guarantee that content, posts, or history will transfer.
Other third parties. The Service may link to or rely on other third-party websites, tools, and services. We do not control and are not responsible for their content, practices, terms, availability, security, or handling of your information.
20. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or that content is complete, accurate, or current. We make no representation regarding any specific outcome, clinical improvement, career benefit, or examination result arising from participation.

21. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER CONFIDENT PSYCHIATRY, DR. GERALD RICHARDSON, NOR ANY AFFILIATE SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PROFESSIONAL OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY CLAIM ARISING FROM CLINICAL DECISIONS YOU MAKE, PATIENT OUTCOMES, PROFESSIONAL DISCIPLINE, OR LICENSURE CONSEQUENCES.
WE SHALL ALSO NOT BE LIABLE FOR ANY ACT, OMISSION, OUTAGE, SECURITY INCIDENT, DATA LOSS, ACCOUNT ACTION, OR DISCONTINUATION BY THE THIRD-PARTY PLATFORM HOSTING THE COMMUNITY OR ANY OTHER THIRD-PARTY SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
22. Indemnification
You agree to indemnify and hold harmless Confident Psychiatry, Dr. Gerald Richardson, and their affiliates from any claim, liability, damage, or expense (including reasonable attorneys' fees) arising from your use of the Service, your clinical decisions, your violation of these Terms, or your violation of any law or third-party right.

23. Termination
You may cancel at any time as described above. We may suspend or terminate your access at any time for violation of these Terms or for conduct we reasonably determine to be harmful to the community. Sections that by their nature should survive termination will survive.

24. Changes to these Terms
We may update these Terms at any time. Material changes will be reflected in the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

25. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute shall be brought exclusively in the state or federal courts located in Seminole County, Florida, and you consent to that jurisdiction and venue.

26. General
If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
